The .pics Platforms — Photographer Submission & Exclusive Print Sales License Agreement

Governing SmallTown.pics and BigCity.pics · Effective Date: Date of electronic signature or acceptance

1. Purpose and Business Model

The .pics Platforms consist of SmallTown.pics (small-town American photography) and BigCity.pics (urban and city photography). Each Platform gives photographers a no-upfront-cost way to display and sell physical prints and wall-art products, while the Company centralizes discovery, marketing, pricing, storefront operations, print fulfillment, shipping, and customer service. Photographer is an independent contributor — not an employee, agent, or partner of the Company.

2. No Upfront Cost to Photographer

There is no submission fee, listing fee, monthly fee, store setup fee, or recurring platform fee charged by the .pics Platforms for accepted images.

3. Revenue Split

For completed, non-refunded Print sales, the Company pays Photographer fifty percent (50%) of Net Revenue under the current limited introductory offer. Photographers who join during the introductory period retain their 50% rate for life. Net Revenue means the gross retail sales price less actual cost of printing and shipping, refunds, chargebacks, discounts, sales taxes, and payment processing fees.

4. Grant of Revocable Exclusive Print Sales License

For each Accepted Photograph, Photographer grants the Company a revocable, exclusive, royalty-bearing, worldwide license to display, reproduce, technically adapt, and fulfill Prints in all sizes, formats, and materials offered by any Platform. The Company may apply professional upscaling to optimize Accepted Photographs for print production without altering artistic intent. License does not cover digital downloads, stock licenses, NFTs, or unrelated merchandise.

Exclusivity means: while a Photograph is listed on any Platform, Photographer may not sell or authorize the sale of physical prints or wall-art reproductions through any other retail channel. Photographer retains the right to display Photographs in personal portfolios, social media, and non-commercial contexts, and may license for editorial, journalistic, or non-commercial uses — but may not sell physical prints elsewhere while listed.

5. Copyright Ownership

Photographer retains all copyright and ownership rights. Nothing in this Agreement transfers copyright to the Company or any Affiliated Platform.

6. Photographer Representations and Warranties

By submitting Photographs, Photographer represents and warrants: (a) sole copyright ownership; (b) full legal right to grant the license; (c) no conflicting rights granted or to be granted; (d) sufficient resolution and quality for professional printing; (e) accurate location information; (f) all necessary releases obtained for identifiable persons, minors, private property, or restricted locations; (g) no Photograph is AI-generated and represented as an original; (h) no Photograph was obtained by trespass or violation of applicable law.

7. Payment Schedule

The Company remits Photographer Share monthly for completed, non-refunded sales from the preceding calendar month. Minimum payment threshold: $25.00.

8. Term and Termination

Photographer may terminate or revoke the license for one or more Photographs by written notice. Termination takes effect thirty (30) days after the Company receives written notice. Within the notice period, the Company shall remove affected Photographs from active sale on all Platforms. Orders received and paid prior to removal shall be fulfilled under agreement terms; no new orders accepted after removal. The Company may terminate without cause on 30 days written notice, or immediately for material breach, false representations, or legal concerns.

9. Indemnification and Limitation of Liability

Photographer agrees to defend, indemnify, and hold harmless the Company and each Affiliated Platform from claims arising from breach of Photographer’s representations, infringement of third-party rights, failure to obtain releases, or Photographer’s negligence or misconduct. The Company’s total liability is capped at the Photographer Share paid during the 12 months preceding the event giving rise to the claim.

10. Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL BE FINALLY AND EXCLUSIVELY RESOLVED BY BINDING ARBITRATION ADMINISTERED IN BERGEN COUNTY, NEW JERSEY PURSUANT TO THE THEN-CURRENT RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA) OR JAMS, AS SELECTED BY THE PARTY INITIATING THE ARBITRATION. EACH PARTY IRREVOCABLY WAIVES THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR’S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.
